By accessing our website or engaging Kedevelopers Tech Limited for any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms apply to all visitors, clients, and any other persons who access or use the Service. We reserve the right to update or modify these Terms at any time, and it is your responsibility to review them periodically. Your continued use of the Site or Services after any modifications constitutes your acceptance of the revised Terms.

For the purposes of these Terms, the following definitions apply:

"Client" refers to the individual or entity engaging Kedevelopers for Services.

"Company" or "Kedevelopers" refers to Kedevelopers Tech Limited, a company registered in Nairobi, Kenya.

"Services" refers to all services offered by Kedevelopers, including web development, software development, mobile app development, SEO, e-commerce solutions, web hosting, internet marketing, and payment integration.

"Deliverables" refers to all work products, code, designs, and materials produced as part of the Services.

"Project" refers to a specific scope of work agreed upon between the Client and the Company.

"Agreement" refers to any written proposal, quotation, or contract entered into between the Client and the Company.

Kedevelopers Tech Limited provides a range of digital services including but not limited to: Premium Web Development (with SEO), Custom Software Development, Mobile Application Development (Android and iOS), E-Commerce Solutions (including WooCommerce integration), Web Hosting and Domain Registration, Internet Marketing and Digital Advertising, and Payment Integration Services. The specific scope of services for each project shall be defined in a separate project proposal or quotation provided by Kedevelopers.

All quotations provided by Kedevelopers are based on the project requirements as communicated by the Client at the time of inquiry. Quotations are valid for a period of 30 days from the date of issue unless otherwise stated. Any changes to the original project scope, including additional features, pages, or functionality, may result in additional charges. A revised quotation will be provided and must be approved by the Client before additional work commences. The Company reserves the right to adjust pricing based on the complexity and scope of changes requested.

A non-refundable deposit of 30% of the total project cost is required before any work commences. The remaining balance is due upon project completion and before the final launch or handover of deliverables. Payments can be made via M-Pesa (mobile money) or bank transfer. Payment details will be provided upon confirmation of the project.

Late payments may attract a penalty fee. In the event of non-payment for more than 30 days after the due date, Kedevelopers reserves the right to suspend or terminate the project and withhold all deliverables until payment is received in full. Hosting and domain renewal services require advance payment before the renewal date.

The Client is responsible for providing all necessary content, materials, images, and information required for the project in a timely manner. Delays in providing materials may result in extended project timelines. The Client shall provide timely and constructive feedback at each project milestone to ensure the project progresses according to schedule.

The Client is responsible for the accuracy of all information and content provided. Kedevelopers shall not be held liable for any errors arising from inaccurate or incomplete information provided by the Client. The Client must designate a single point of contact for all project communications to ensure clarity and efficiency.

Upon receipt of full payment, ownership of the final deliverables (including website design, custom code, and content created by Kedevelopers) shall transfer to the Client. Until full payment is received, all deliverables remain the intellectual property of Kedevelopers Tech Limited.

Kedevelopers retains the right to display and link to the completed project as part of its portfolio and marketing materials unless otherwise agreed in writing. Any third-party software, plugins, themes, or assets used in the project remain subject to their respective license terms. Pre-existing intellectual property belonging to either party shall remain the property of that party.

Each project includes a reasonable number of revisions as specified in the project proposal. Additional revisions beyond the agreed scope will be billed at an hourly rate or as a separate quotation. All change orders must be submitted in writing (email is acceptable) and will be assessed for their impact on the project timeline and cost.

Kedevelopers will provide a revised timeline and quotation for any approved change orders before work commences on the changes. Work on change orders will only begin after written approval from the Client.

Project timelines are estimates based on the agreed scope and are contingent upon timely provision of materials and feedback by the Client. Kedevelopers will make every reasonable effort to complete projects within the estimated timeline. However, the Company shall not be held liable for delays caused by circumstances beyond its control, including but not limited to: Client delays in providing content or feedback, changes in project scope, third-party service interruptions, or force majeure events.

The project will be considered delivered once the Client has been notified and provided access to the completed work. If the Client does not respond within 14 days of delivery notification, the project shall be deemed accepted.

Kedevelopers offers web hosting and domain registration services as part of its service offerings. Hosting and domain services are subject to annual renewal fees, which must be paid in advance before the renewal date. Failure to renew hosting or domain services before the expiry date may result in service interruption, data loss, or loss of the domain name.

Kedevelopers shall not be held responsible for any losses arising from the Client's failure to renew services on time. The Company reserves the right to modify hosting plans and pricing with reasonable notice to affected clients. The Client is responsible for maintaining the security of their hosting account credentials and for the content hosted on their account.

Kedevelopers warrants that all Services will be performed in a professional and workmanlike manner consistent with industry standards. A limited warranty period of 30 days from the date of project delivery is provided, during which Kedevelopers will fix any bugs or functional issues at no additional cost, provided they fall within the original project scope.

After the warranty period, all Services are provided "as is" without any express or implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Kedevelopers does not warrant that the Services will be uninterrupted, error-free, or completely secure.

To the maximum extent permitted by law, Kedevelopers Tech Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our Services, including but not limited to loss of revenue, loss of data, business interruption, or loss of profits.

The total liability of Kedevelopers for any claim arising out of or relating to the Services shall not exceed the total amount paid by the Client for the specific project giving rise to the claim. This limitation of liability applies regardless of the legal theory on which the claim is based.

Either party may terminate a project by providing written notice to the other party. If the Client terminates the project, the Client shall be responsible for payment of all work completed up to the date of termination. The initial 30% deposit is non-refundable.

If Kedevelopers terminates the project due to circumstances within its control, a pro-rated refund of any unused prepaid amounts will be issued. In the event of termination, Kedevelopers will provide the Client with all completed work upon receipt of payment for services rendered. Kedevelopers reserves the right to terminate a project immediately if the Client engages in abusive conduct, fails to make required payments, or breaches these Terms.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the project. This includes but is not limited to business plans, technical specifications, customer data, login credentials, and financial information.

Neither party shall disclose confidential information to any third party without the prior written consent of the other party, except as required by law. This confidentiality obligation shall survive the termination of any agreement between the parties.

Kedevelopers may utilize third-party tools, plugins, APIs, frameworks, and services (such as WordPress, WooCommerce, reCAPTCHA, and various hosting providers) in the delivery of its Services. The use of such third-party services is subject to their respective terms and conditions and privacy policies.

Kedevelopers does not warrant or guarantee the performance, availability, or security of any third-party service. The Client acknowledges that changes, updates, or discontinuation of third-party services may affect the functionality of the deliverables, and Kedevelopers shall not be held liable for such impacts.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from or relating to these Terms, the Services, or any agreement between the Client and Kedevelopers shall be subject to the exclusive jurisdiction of the courts located in Nairobi, Kenya.

Both parties agree to attempt to resolve any disputes through good-faith negotiation before resorting to formal legal proceedings.

Kedevelopers reserves the right to update, modify, or replace these Terms and Conditions at any time at its sole discretion. Changes will be effective immediately upon posting on our website. It is your responsibility to review these Terms periodically.

Your continued use of our Site or Services following the posting of any changes constitutes acceptance of those changes. For active projects, material changes to these Terms will be communicated directly to the Client.
